This is the agreement behind every SBRINZ commission, written the same way as the rest of this site: in plain English, with nothing hidden in small print. Accepting a quote means accepting what's on this page.

SBRINZ* is a web design studio operated by Calista Mo, a sole trader in Melbourne, Victoria, Australia. These terms sit between that studio and whoever accepts a quote from it, referred to here as "you." Write to contact@sbrinz.com.au with anything on this page.
Every commission starts with a free quote, worked out from a look at your market, your competitors and what actually works for them. It is fixed once you accept it, in the same email thread it arrived in. If something new comes up partway through that wasn't in the original scope, it's quoted separately, in writing, and you decide whether to go ahead with it. A quote is valid until the date printed on it; after that, ask for a new one.
Jobs under $5,000 are paid in two parts: half when you accept the quote, half when the site goes live. Jobs of $5,000 or more are paid in three: 40% on acceptance, 30% once the design is signed off, 30% at launch. Work begins once the first payment arrives, and the site goes live once the last one does. If a payment is significantly overdue, work is paused until it's sorted out, and the timeline moves with it.
If GST applies to your invoice, it's shown as its own line, worked out on top of the quoted price. You can ask for an itemised breakdown of any bill: under the Australian Consumer Law you're entitled to ask within 30 days of being given one, and it will be supplied free within seven days.
Full refund if no work has begun at all. Once planning and mock-ups exist, 25% of what you've paid is kept for that work. Once the build itself has started, anything already paid out on your behalf (a domain registration, for instance) and the value of work completed so far also come out of the refundable amount, and the rest is returned to you within 14 days of you asking, in writing.
The timeline on your quote is an estimate, built from how long similar work has taken. It depends on getting your content, decisions and feedback back in reasonable time, so a build that's waiting on you for weeks hasn't fallen behind through any fault of the studio's. If a commission goes quiet for an extended period, picking it back up may mean a fresh booking rather than an indefinitely held queue spot. The same goes the other way: if something outside the studio's control holds a build up, illness, an outage at a provider the build depends on, that sort of thing, the timeline moves to match, and it isn't treated as a broken promise. Either side will say so as soon as it's known.
Copywriting is drafted from a conversation with you and revised until it sounds like you, and it's included in the build. You're responsible for the accuracy of what sits behind it: prices, claims, qualifications, stock, anything about your business the studio can't independently check. If a claim later turns out to be wrong, that sits with you, not the studio.
A privacy policy is included in every build, drafted plainly around what your site actually collects, the same way this one is. A terms page is added for sites that sell, book, or take payment. Both are a genuinely useful starting point, written with Australian law in mind, and neither is legal advice. The standing advice, the same advice this page ends with, is to have a lawyer check whatever the studio drafts before you rely on it. The studio isn't liable for anything a drafted privacy policy or terms page misses, gets wrong, or fails to cover for your particular business; checking it, and relying on it, is your call to make.
A reasonable number of rounds of feedback and changes are part of every build, while it's still being built. Once a site has launched, small fixes are covered by care (below); a meaningful redesign or a new feature is its own piece of work, quoted separately.
Your domain, hosting account and business email are registered in your name from the start, never the studio's, so none of it can be held over you. On final payment, the studio assigns you all intellectual property it created for your build, including the copyright in the design and the code, in writing, as this page records once you accept it. Until that final payment, that work remains the studio's. A few things aren't the studio's to assign, because they were never the studio's to begin with, such as licensed stock images, fonts and plugins; those keep running under their own licence, and the studio only ever uses licences that allow that. At handover you get every login, in a folder, and you can take your business elsewhere whenever you like.
So bugs can be found and fixed quickly, and so anything lost can be recovered, the studio keeps a support login to your Cloudflare account, where your site, domain and hosting live, for as long as you're a client. This does not extend to the inbox of any email address at your domain: what you send and receive there stays private, and the studio does not read it. You can remove the studio's access at any time, the same way you could remove it from any other account. Doing so doesn't affect anything already built or handed over, but it does mean a bug fix or a recovery becomes a quoted job rather than something sorted out on the spot.
Many of the sites this studio builds collect something from the people who visit them: an enquiry, an order, a sign-up. That information belongs to your business, not the studio's, and complying with privacy law, the Spam Act and anything else that applies to it is your responsibility as the business collecting it. The studio's job is to build the collection and consent mechanics you ask for, properly, such as an opt-in checkbox on a sign-up form or a clear line on an enquiry form about what happens to what's sent.
Where the studio keeps a support login under "keeping a way in" above, that access is used only to maintain and fix your site. The studio does not read, copy, export or otherwise use information your site holds about your own customers, beyond what a specific fix genuinely requires.
Where a build includes a shop or checkout, card details are sent straight to the payment provider and never pass through the studio's own systems. You remain the merchant of record with that provider, and the security obligations that come with accepting cards sit with you and your payment provider, not the studio. The studio builds the checkout to keep card data off its own systems for exactly this reason, and will help you keep that arrangement in place.
Every build includes two years of care at no extra cost: bug fixes, detail changes, and seasonal dressings where the site has them. After that, care continues on the plan set out in your quote. Care covers keeping what's there working; it doesn't cover new pages or features, which are quoted on their own. You can cancel care at any time, and if the price of a plan ever changes, you'll hear about it at least 30 days before it takes effect.
Finished sites carry a small "built by SBRINZ" credit in the footer, linking back to sbrinz.com.au. The studio may also show the finished site in its own portfolio, case studies and social media, because that work is how the next client finds the studio. If you'd rather keep a project private, or leave the credit off, say so and it's left out, whether that's before the quote is accepted or any time after.
Hosting, email delivery, payment processing and similar services run through whichever provider is right for the job (Cloudflare, for most of this studio's sites, and others for payments). Those providers set and run their own terms, and the studio isn't responsible for an outage, change or failure on their end, though it will help get things working again.
The studio stands behind its work and will fix a genuine fault at no extra cost. Beyond that, and to the extent the law allows, the studio's liability for any claim arising from a commission is limited to the amount paid for it. Nothing here cuts across any guarantee the Australian Consumer Law gives you that can't lawfully be excluded.
Whatever you share in a brief or a conversation, about your business or your customers, is used only to quote and build your site, and isn't passed on. The one exception is the portfolio use described above, which only ever shows the finished site, not what you shared to get there.
Either side can end a commission in writing at any time. If you end it, the refund terms above apply to anything already paid. If the studio ends it, you're refunded for any part of the job not yet delivered.
These terms are governed by the law of Victoria, Australia. If a disagreement comes up, write to contact@sbrinz.com.au first; most things get sorted with a conversation.
When these terms change, this page is updated the same day and the date at the top changes with it. A commission already agreed stays on the terms it was quoted under; a new quote carries whichever version is current.
This page is written to set out plainly how the studio actually operates, not as a substitute for legal advice. If you run a business that needs its own terms and conditions, have a lawyer check them before you publish them, and the same goes for this page if you'd like it checked.
